Terms of Service

Agreement to These Terms

These Terms of Service ("Terms") are an agreement between you and MenuTada, formerly Menuify ("MenuTada", "we", "us"). They cover your use of the MenuTada website, web app and iOS app, and the public menu pages and QR codes we provide (together, the "Service"). If you use MenuTada for a restaurant or other business, you agree to these Terms for that business and confirm you have the authority to do so. Our Privacy Policy explains how we handle personal information and is part of these Terms.

If you don't agree to these Terms, please don't use MenuTada.

What MenuTada Is

MenuTada lets restaurants create digital menus, publish them on a web page (on menutada.com or a domain they connect), and share them through QR codes and links. Guests read menus in their browser without an account.

MenuTada only displays menus. It does not take orders, reservations or payments for restaurants, and we are not a party to anything between a restaurant and its guests.

Your Account

• You must be at least 18 years old to create an account.
• Give us accurate information and keep it up to date.
• Keep your password safe. You're responsible for what happens in your account and in restaurants you manage, including what your teammates do there.
• Tell us right away at teammenutada@gmail.com if you think someone has used your account without permission.
• The person who creates a restaurant is its owner, and only the owner can delete it. Teammates can do what their role allows.

Your Content

You own your content. Your menus, item descriptions, prices, photos, logos and restaurant details ("Your Content") belong to you or your licensors.

The license you give us. You give MenuTada a worldwide, non-exclusive, royalty-free license to host, store, copy, process, resize, display and publish Your Content, only as needed to run the Service: for example, to show your public menu, make your QR codes work, create thumbnails, and read a menu you import. This license ends when you delete Your Content or your restaurant, apart from backup copies kept for a limited time and copies other people have already saved.

We don't use Your Content in our marketing without your permission.

Your responsibility. You are responsible for Your Content and for making sure it is accurate and lawful. That includes prices, descriptions, allergen, dietary and nutrition information, and any information the law requires restaurants to show. You must have the rights to every photo, logo and piece of text you upload. Guests rely on your menu, so please keep it current.

We may remove content or suspend a public menu if we reasonably believe it breaks these Terms or the law, or if someone reports that it infringes their rights.

AI Menu Import

MenuTada+ can read a menu from a photo or PDF using an AI model from a third-party provider, as described in our Privacy Policy, and create a menu from it. AI can make mistakes: check every imported item, price and description, and correct the menu or hide it until you have. You are responsible for what you publish. Only upload images you have the right to use. Imports may be subject to fair-use limits.

Acceptable Use

Don't use MenuTada to:

• break the law, or publish false, misleading, infringing, hateful, sexually explicit or harmful content;
• sell or promote illegal goods or services;
• send spam, phishing or malware, or link your menu or domain to it;
• impersonate a restaurant or person, or publish a menu for a business you don't represent;
• access other restaurants' data, or get around security, plan limits or usage limits;
• scrape, overload or disrupt the Service, or reverse engineer it except where the law allows;
• resell or provide the Service to others without our written permission.

Plans, Free Trial and Billing

• Free plan: one menu with up to 50 items, a QR code and a hosted menu page. We may change what the Free plan includes, and will tell you before a change that affects you.
• MenuTada+: unlimited menus and items, menu hours, advanced analytics, removing MenuTada branding, team members and AI menu import. It costs $9 per month (USD), plus any applicable taxes. Prices shown at checkout apply.
• Free trial: new MenuTada+ subscriptions may start with a 14-day free trial. You'll need to add a payment card to start it. Unless you cancel before the trial ends, your subscription starts automatically and your card is charged $9, then $9 every month after that, until you cancel. You can cancel at any time during the trial and you won't be charged.
• Automatic renewal: MenuTada+ renews every month, and we charge your card through our payment processor, Stripe, at the start of each billing period.
• Cancelling: you can cancel at any time in your restaurant's Settings → Billing, or by emailing teammenutada@gmail.com. Cancelling stops future charges, and you keep MenuTada+ until the end of the period you've already paid for. Your restaurant then moves to the Free plan: your existing menus stay published, but you can't add menus or items beyond its limits, and MenuTada+ features turn off.
• Refunds: payments aren't refunded for partial months, except where the law requires it. If you believe you were charged in error, email us within 30 days and we'll look into it.
• Price changes: we'll email you before a price change takes effect on your subscription, in time for you to cancel if you don't want to continue.
• Failed payments: if a payment fails, we may limit your restaurant to the Free plan's features until it's paid.

Custom Domains and QR Codes

If you connect your own domain, you must own it or have permission to use it, and you're responsible for keeping it registered. QR codes point to MenuTada links. They keep working while your restaurant exists on MenuTada, but will stop showing your menu if you delete the restaurant.

Our Intellectual Property

MenuTada, its software, design, logos and the content we create belong to us or our licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the Service for your business while you follow them. They don't give you any other rights to our brand or software. If you send us feedback or suggestions, we may use them without owing you anything.

The iOS App

Your use of the MenuTada iOS app is also subject to Apple's Licensed Application End User License Agreement. These Terms are between you and MenuTada, not Apple. Apple has no obligation to provide support or maintenance for the app, and isn't responsible for any claims relating to it. Apple and its subsidiaries are third-party beneficiaries of these Terms for the app and may enforce them. You confirm that you are not in a country under a U.S. government embargo and are not on any U.S. government list of prohibited or restricted parties.

Third-Party Services

MenuTada relies on other companies' services, such as Stripe for payments and Google Firebase for sign-in and storage. Your use of them may also be subject to their terms. We're not responsible for websites or services we link to but don't run.

Ending Your Use

You can stop using MenuTada at any time. A restaurant's owner can delete it from Settings, and you can ask us to delete your account by emailing teammenutada@gmail.com. See the Privacy Policy for what happens to your data.

We may suspend or close an account or restaurant that breaks these Terms, harms others or puts the Service at risk. Where reasonable, we'll tell you first and give you a chance to fix the problem. If we close a paid account without cause, we'll refund the unused part of the current period. We may stop offering the Service. If we do, we'll give you at least 30 days' notice so you can save a copy of your menus, and refund any prepaid time you can't use.

Changes to the Service and These Terms

We're always improving MenuTada, so features may change. We may update these Terms. If we make a significant change, we'll tell you by email or in the app before it takes effect. If you keep using MenuTada after a change takes effect, you accept the new Terms. If you don't agree, you can cancel and stop using the Service.

Disclaimers

We work hard to keep MenuTada available and accurate, but THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. We don't guarantee the Service will be uninterrupted or error-free, or that AI import results will be correct. Keep your own copy of anything you can't afford to lose.

We're not responsible for the content of restaurants' menus. Guests should ask the restaurant directly about allergens, ingredients and prices.

Limitation of Liability

TO THE EXTENT THE LAW ALLOWS, MENUTADA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AND $50. Some places don't allow these limits, so they may not all apply to you.

Indemnity

If someone brings a claim against us because of Your Content or your breach of these Terms or the law, you agree to cover our reasonable costs and losses from that claim. We'll tell you about the claim promptly and let you help defend it.

Governing Law and Disputes

These Terms are governed by the laws of the State of Wisconsin, United States, without regard to its conflict-of-law rules. Before filing a claim, please email us at teammenutada@gmail.com so we can try to resolve it informally within 60 days.

If we can't, any dispute will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable rules, held in Rock County, Wisconsin, or online or by phone. You and MenuTada each waive the right to a jury trial and to take part in a class action. Either of us may instead bring an individual claim in small-claims court, or ask a court to stop the infringement or misuse of intellectual property. If arbitration doesn't apply, disputes will be heard in the state or federal courts in Rock County, Wisconsin.

General

These Terms and the Privacy Policy are the whole agreement between you and MenuTada about the Service. If part of these Terms can't be enforced, the rest still applies. If we don't enforce a term, that doesn't waive our right to enforce it later. You can't transfer these Terms without our permission. We may transfer them as part of a merger or sale of our business. Neither of us is responsible for delays caused by events beyond our reasonable control. We may send notices by email to your account's address or in the app.
